These terms govern all quotations, artwork submissions, manufacturing specifications, and print orders placed with EZ PRINT PRIVATE LIMITED (UEN 201706183R).

1. Formation of Contract & Quotations

All price quotations issued by EZ PRINT PRIVATE LIMITED are valid for the specified quotation period from the date of transmission, unless expressly stated otherwise in writing. A binding contract is formed upon the customer's written approval (via electronic mail, official WhatsApp communication, or formal purchase order) accompanied by EZ Print's order confirmation, in accordance with the Electronic Transactions Act 2010.

Every job is quoted based strictly upon the exact dimensions, substrate, quantity, sides printed, finishing options, and turnaround schedule agreed. Any variation in specification requested after quotation will be assessed and confirmed under a revised quotation.

2. Artwork, Proofing & Sign-Off Responsibility

The customer bears sole and final responsibility for reviewing and verifying all artwork content prior to production sign-off. This includes typography, spelling, contact details, barcode/QR code scannability, resolution (minimum 300 DPI at 1:1 scale), CMYK colour modes, orientation, and the provision of requisite trim bleed (minimum 2 mm) and safe inner margins.

Electronic proofs (PDF or digital preview) serve to confirm layout, position, and textual content. They do not constitute color-calibrated physical proofs. Once written approval is granted by the customer, production commences immediately and orders cannot be cancelled, modified, or held in suspense.

3. Trade Printing Tolerances

Commercial print manufacturing across offset, digital, and wide-format presses involves physical and chemical variables. The following trade tolerances constitute acceptable performance under Singapore commercial custom:

  • Colour Fidelity: Process CMYK gang-run printing inherently carries minor tonal variation across press sheets. Screen displays (RGB) emit light and do not replicate printed ink on paper. Exact Pantone or corporate spot matching must be explicitly requested and quoted.
  • Mechanical Cutting: Trimming, slitting, guillotining, and die-cutting carry a standard mechanical tolerance of ±1.0 mm to ±1.5 mm. Critical design elements positioned within safety margins are at the customer's risk.
  • Substrate & Caliper: Paper and board weights adhere to manufacturer mill variations within ±5% of stated caliper.
  • Quantity Variance: A standard trade margin over or under the ordered quantity constitutes complete fulfillment, invoiced pro-rata.

4. Customer Content & Intellectual Property Indemnity

The customer represents, warrants, and covenants that it owns or possesses all valid intellectual property rights, licenses, registered trademarks, copyrights, and permissions for all text, logos, imagery, and designs submitted for printing.

The customer unconditionally agrees to defend, indemnify, and hold harmless EZ PRINT PRIVATE LIMITED, its directors, officers, employees, and contractors from and against all claims, liabilities, damages, losses, costs, and legal expenses arising out of any alleged infringement of third-party intellectual property, copyright violation, defamation, or breach of statutory regulations under the Copyright Act 2021 or other Singapore statutes.

EZ Print reserves the absolute right to decline production of any material deemed unlawful, defamatory, seditious, or objectionable under Singapore law.

5. Delivery, Collection & Title Retention

Delivery is fulfilled via commercial courier to the designated address within Singapore. Risk of loss passes to the customer upon courier delivery handover or upon release at our collection point.

Collection at Centennial Tower, #21-00/01 is strictly by prior arrangement once job completion is confirmed. Goods remaining uncollected after the agreed collection window from completion notification may incur storage administrative fees. Goods remaining uncollected after extended storage may be safely disposed of without liability.

Title to all goods remains with EZ PRINT PRIVATE LIMITED until the full invoice consideration has been settled in cleared funds. EZ Print retains a general contractual lien over any customer property or artwork in its custody for outstanding sums.

Remedies, Turnaround and Legal Limits

6. Inspection, Claim Protocol & Limitation of Liability

Clear statutory guidelines govern defect claims and ensure fair commercial adjudication:

Prompt Inspection Protocol

The customer must inspect all delivered goods upon receipt. Any claim of defect, error, or physical damage must be communicated in writing to EZ Print promptly upon receipt, accompanied by photographic documentation and representative physical samples.

Failure to notify EZ Print promptly upon receipt constitutes irrevocable deemed acceptance of the goods as fully conforming to contract specifications.

Exclusive Remedy

Where a defect is verified and accepted by EZ Print as originating in production error, EZ Print's sole obligation and the customer's exclusive remedy shall be, at EZ Print's election, either: (a) reprinting the non-conforming items within a reasonable schedule, or (b) issuing a credit note for the invoice value of the defective units.

Exclusion of Consequential Loss

To the maximum extent permitted under Singapore law, including the Unfair Contract Terms Act 1977, EZ PRINT PRIVATE LIMITED shall not be liable for any indirect, consequential, incidental, or economic loss, including loss of profits, commercial downtime, missed event deadlines, or marketing expenses. Total liability shall in no event exceed the net contract price paid for the specific affected order.

7. Turnaround & Force Majeure

Standard turnaround is 7–14 working days. Same-day printing available is available subject to artwork, stock and production capacity confirmation. timing is agreed for each job.

All quoted dates are good-faith estimates. EZ Print shall not be liable for delays caused by circumstances beyond reasonable control, including power interruptions, mechanical breakdown, courier transit disruptions, supply chain shortages, or acts of God.

8. Governing Law & Jurisdiction

Laws of the Republic of Singapore
Dispute Resolution
The courts of the Republic of Singapore shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this agreement.
Third Party Rights
A person who is not a party to this agreement has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any term.
